‍General Terms and Conditions

1. Subscription License

RetinAI (the Licensor) grants to you (the Licensee) a non-exclusive, non-transferable subscription license under the terms and conditions specified in the applicable EULA.

The RetinAI cloud services that are hosted on Amazon Web Services (AWS) primary data centers in Europe.

We retain the right to not accept your electronic order from this online store in RetinAI’s discretion. 

This Agreement commences upon our acceptance and counter-signature of your order and shall be valid for the agreed initial Subscription Term defined above.

Thereafter it shall automatically renew for another calendar year (Renewal Term), unless terminated in the Customer Portal at least one (1) day or in writing at least ten (10) days prior to the expiry of the Initial Term or any annual Renewal Term.

If the subscription is thus renewed, the Commencement Date of the Subscription shall be defined as the annual anniversary date of the commencement date of the paid subscription.

2. Subscription Fees

Fees and charges are stated in Euro (EUR) and are exclusive of any foreign and domestic taxes and VAT for a purchaser outside of Switzerland. For purchasers located within Switzerland, 7.7 % VAT applies.

The subscription fee shall become due immediately after the end of the free trial period and will be charged (or invoiced) monthly/yearly in advance.

All invoices are payable within 30 days upon receipt.

3. Payment Provider and Payment Terms

For subscription management and recurring invoices, we use the eCommerce platform Chargebee in Frankfurt, Germany, whose terms of Service You can access here:  https://www.chargebee.com/company/terms/

For payment with credit card or SEPA, we use a third party payment service provider Stripe in Switzerland, whose terms of Service You can access here: https://stripe.com/ch/terms and https://stripe.com/ch/privacy.

By using the Chargebee eCommerce platform and Stripe payment service, You agree to the terms and conditions and privacy terms of both Chargebee and Stripe. RetinAI shall not be liable to You for Your use of this third party service.

You agree to provide RetinAI and/or Stripe and Chargebee with accurate billing and contact information, including Customer’s legal company name, street address, email address, and name and telephone number of an authorized billing contact and Administrator. If the contact information You have provided is false or fraudulent, RetinAI reserves the right to terminate Your access to the Service in addition to any other legal remedies.

4. Data Protection and Privacy

If you plan to upload and/or process personal data of Swiss or EU data subjects, you will need to complete a Data Processing Agreement pursuant to Art. 28 GDPR which you can find here.

If you plan to transfer personal data to a country outside of the EU/EEA or Switzerland, which is not deemed adequate by the EU, please contact us to sign the EU Standard Contractual Clauses, before you transfer such personal data. If you plan to process personal health information under US HIPAA, please contact us to discuss a respective BAA.
